What this covers
These terms apply when an accepted commercial quote, account agreement, or other written confirmation expressly incorporates them. “Contractor” describes our customers. ODG does not provide general contracting or construction services. These terms do not grant credit automatically, and they do not override a separately signed agreement.

1. Customer and project identification
Provide your correct legal billing name, billing contact, project address, authorized project contact, and any required purchase-order or job reference. Tell us about any invoice-submission portal or documentation requirement before work is accepted. A purchase-order number is an administrative reference unless the parties expressly agree that specified purchase-order terms form part of the contract.
2. Written scope and document priority
The accepted quote or agreement identifies the materials or hauling work, quantity or measurement basis, locations, pricing, inclusions, exclusions, and scheduling process. It also identifies which documents govern and in what order of priority. If documents conflict, get written clarification before relying on a different scope, payment requirement, or safety instruction.
3. Authorized instructions and dispatch
Identify who may authorize dispatch, approve changes, direct safe placement, and acknowledge receipt. Provide reliable contact details and any limits on a representative’s authority. Dispatch instructions must match the accepted scope. Being at the job site or signing a delivery ticket does not by itself give someone authority to amend contract terms.
4. Job-site readiness and coordination
Arrange lawful entry and safe access, required site permissions, and coordination with other trades and equipment. Share gate rules, restricted hours, traffic controls, ground conditions, overhead hazards, and the unloading plan before dispatch. Driver assessment and safety requirements apply even when a project schedule is urgent. See our Site Access & Delivery Readiness policy.
5. Change requests
Changes to the material, quantities, trip count, location, waiting, scheduling, or work scope require confirmation through the agreed authorization process. Document any change in price, timing, or responsibilities before the changed work proceeds. A request does not amend the accepted agreement by itself.
6. Rates, invoicing, and credit
Your accepted agreement identifies the rate or price basis, included services, tax treatment, invoicing process, payment due date, and any approved additional-charge schedule. Payment is due at delivery by cash, check, or credit card. Credit accounts, which require ODG’s separate written approval, are net 30 days from delivery, and balances not paid within 30 days incur interest at 18% APR. If an account goes unpaid, ODG may refer it to collections, and the customer is responsible for a $200 pre-lien fee, an $800 lien filing fee, and attorney and collection costs. Returned checks are subject to a $50 fee and may be referred for prosecution as theft of service, including through the Guadalupe County District Attorney’s Office. No credit limit, retainage, or lien waiver applies unless it is stated in your accepted agreement.
7. Records and billing questions
Keep accepted quotes, purchase references, dispatch instructions, approved changes, tickets, and delivery records. Report a discrepancy promptly with the invoice number, the affected line or trip, the supporting record, and the correction you request. Any notice period, withholding right, or dispute procedure comes from your accepted agreement and applicable law.
8. Delays, cancellation, and special requirements
Notify dispatch promptly if the project cannot receive the work as arranged. Detention (waiting) time is charged at $135 per hour. If a load must be returned or redispatched because of job-site conditions or because the customer did not prepare site access properly, a starting fee of $250 applies, plus the additional cost of redispatching the load to another location or returning it to the plant, which ODG and the customer will discuss and approve before it is charged. Cancellation, rescheduling, no-show, and failed-delivery charges may apply at ODG’s discretion based on the circumstances, in addition to anything stated in your accepted agreement, and ODG will tell you the amount and the reason. Tell ODG before acceptance about any insurance certificate, site credential, special reporting, or other project requirement. ODG commits to such a requirement only when it confirms it in writing.
9. Legal and notice provisions
Your final commercial agreement identifies the contracting parties, notice details, and document priority. No personal guarantee, indemnity, or liability limit applies unless it is stated in a document signed by the parties. ODG handles business contacts’ personal information as described in our Privacy Policy. Nothing in these terms waives rights that applicable law does not allow to be waived.
